Paramount Skydance and California Attorney General Rob Bonta are reportedly in advanced talks to settle the antitrust lawsuit challenging Paramount’s proposed acquisition of Warner Bros. Discovery.
The negotiations could remove one of the biggest legal obstacles to the Paramount WBD antitrust settlement and potentially allow the roughly $110 billion media deal to move forward.
The Wall Street Journal reported that the discussions remain ongoing and that no agreement is guaranteed.
Paramount declined to comment, while Bonta’s office said it could neither confirm nor deny the existence or substance of confidential settlement discussions.
Paramount and Bonta Discuss Possible Compromises
One option reportedly under discussion would involve keeping Paramount and Warner Bros. Discovery’s movie studios operating separately for a period after the transaction rather than immediately combining them.
Bonta has previously argued that common ownership with operational separation would amount to a behavioral remedy, while his office has sought a structural solution involving separate ownership. The proposed Paramount Warner Bros Discovery merger lawsuit therefore remains unresolved despite the reported progress in negotiations.
The stakes are significant. California led a coalition of 12 states in suing to block the deal, arguing that the combination would reduce competition in theatrical film distribution and basic cable programming. California’s attorney general has said the merged company could control nearly one-third of U.S. theatrical movies and nearly one-third of basic cable programming.
Deal Faces Mounting Financial Pressure
Paramount has also asked the court to require the states and the Writers Guild of America to post a $1.88 billion bond to cover potential losses if the litigation delays the transaction and Paramount ultimately prevails. A hearing on that request is scheduled for September 24.
The company faces another financial deadline from October 1, when payments owed to Warner Bros. Discovery shareholders are expected to increase by about $7 million per day until the deal closes. That deadline has added urgency to the media merger antitrust talks.
Paramount-WBD Merger Enters Critical Phase
The legal dispute is currently the key barrier preventing completion of the transaction. Paramount said earlier this month that it had received regulatory clearances across 69 jurisdictions, leaving the state litigation and a separate Writers Guild lawsuit as the remaining obstacles to closing. A federal trial is scheduled for March 2027 if the dispute is not resolved earlier.
For the California AG Bonta Paramount deal, the reported negotiations could determine whether the companies can restructure their operations to address antitrust concerns or whether the dispute proceeds toward a full court battle.
