Paramount Challenges California AG’s Bond Arguments in Warner Bros. Merger Fight

Paramount Skydance has accused California Attorney General Rob Bonta of contradicting his own legal arguments as the company seeks a $1.88 billion bond to protect itself from losses arising from the legal battle over its proposed Warner Bros. Discovery acquisition.

Paramount says the bond would allow it to recover costs if it ultimately defeats lawsuits brought by California and 11 other states, along with the Writers Guild of America, which are seeking to block the merger. The company estimates it will have paid $1.3 billion in fees to Warner Bros. shareholders by the time the case is scheduled to conclude in April.

Paramount Targets Bonta’s Injunction Argument

At the centre of the dispute is whether Paramount voluntarily agreed to delay closing the transaction or effectively paused the deal because of the states’ legal challenge.

Bonta has argued that Paramount voluntarily agreed to the pause instead of waiting for a court-ordered injunction, weakening the company’s case for requiring the states to post a bond.

Paramount, however, points to Bonta’s television interviews in which he reportedly described the pause as equivalent to an injunction. The company argues that this position undermines the California AG’s courtroom argument and supports its claim that antitrust law requires the states to provide financial security.

Bonta’s office has rejected Paramount’s position, saying the company’s motion has no merit and that it is prepared to present its case at the upcoming hearing.

The proposed $110 billion acquisition would transform Paramount into a much larger entertainment company with Warner Bros., its film and television operations and other major media assets under one corporate umbrella. The transaction has faced resistance from regulators and industry groups concerned about market concentration.

California and 11 other states sued in July, arguing that the merger could give the combined company excessive power over film and television markets. The Writers Guild of America separately claims the transaction could hurt writers’ pay and working conditions.

Paramount maintains that the merger would strengthen the entertainment industry and result in more content.

US District Judge Araceli Martínez-Olguín has scheduled a September 24 hearing on Paramount’s bond request. Both Paramount and Bonta have indicated they remain open to negotiations, although California has warned it is prepared to proceed to trial if its concerns are not resolved.
