Ingenia Communities has rejected Warburg Pincus’ revised A$2.06 billion takeover proposal, saying the A$5.05 offer undervalues the company while its planned Peet acquisition remains central to its growth strategy.

Australia’s Ingenia Communities Group has rejected an improved takeover proposal from private equity firm Warburg Pincus, turning down a A$2.06 billion all-cash offer in the latest development in a closely watched Australian property deal.

The Ingenia rejects Warburg Pincus takeover bid decision came after Warburg increased its proposal to A$5.05 per security, up nearly 6.3% from its earlier A$4.75 offer.

The revised bid represented a 16.9% premium to Ingenia’s previous closing price. However, Ingenia’s board said the proposal substantially undervalued the company and was not in the best interests of its securityholders.

The development leaves the Ingenia Communities takeover proposal unresolved while the two sides remain apart over valuation and strategy.

Warburg’s latest offer also carries a condition that Ingenia abandon its planned A$711 million acquisition of residential developer Peet.

Ingenia has described the Peet transaction as an important part of its growth strategy, making the condition a central issue in the takeover discussions.

Warburg Pincus Raises its Offer

The Warburg Pincus $5.05 offer is the private equity firm’s second attempt to acquire Ingenia. Warburg said it was disappointed by the rejection and described the revised proposal as a materially improved all-cash alternative for Ingenia securityholders.

Ingenia shares rose during Monday trading following the announcement while market analysts continued to focus on the gap between the offer and the company’s valuation expectations. Citi analysts said a cash proposal between A$5.25 and A$5.50 could be compelling in the near term, particularly given uncertainty in the residential market.

The ASX INA takeover bid comes as Ingenia pursues its separate acquisition of Peet. Warburg’s proposal requires that transaction to be abandoned while Ingenia has continued to defend the strategic rationale behind it.

Ingenia, which trades on the Australian Securities Exchange under the code INA, said its board remains open to proposals that represent compelling value. For now, the Ingenia Peet acquisition and the valuation of the company remain key factors in determining whether further discussions with Warburg Pincus take place.
