Vertex Expands Rare Disease Portfolio With $10B Crinetics Buyout

Synopsis

The deal adds Crinetics' endocrine disease therapies to Vertex's pipeline and is expected to become accretive to adjusted operating income by 2029.

Vertex Pharmaceuticals Inc. Is venturing into the rare disease market in a $10 billion acquisition of Crinetics Pharmaceuticals Inc., along with its newly-approved treatment for the rare hormonal condition acromegaly, as well as a pipeline of later-stage therapies. 

In the all-cash transaction, Vertex will buy Crinetics for $85 per share, representing a 102% premium from Crinetics’ July 3 closing price. 

The deal is expected to close in the third quarter of 2026, following shareholder and regulatory approval.

The acquisition includes Crinetics' lead commercial product Palsonify (paltusotine) for acromegaly, the late-stage pipeline asset, a stimulant for congenital adrenal hyperplasia, and other endocrine diseases.

Broadening Beyond Cystic Fibrosis 

The deal is the fifth therapeutic area Vertex is pursuing after prior acquisitions and collaborations in cystic fibrosis, pain, kidney diseases and blood disorders. 

The expanded commercial products and pipeline offer potential for $5 billion in peak annual revenue for Vertex, and the transaction will be accretive to its adjusted operating income starting in 2029, Vertex reported. 

The Cambridge, MA-based drug maker already sees most of its 2025 product revenue of $11.99 billion coming from its cystic fibrosis franchise. Last year, Vertex outlined its intention to build its footprint in rare diseases through the purchase of marketed products or ones that are nearing regulatory approval.

Dealmaking is active across the biotechnology sector, as companies look to reinforce their long-term growth engines and the rare disease market is poised to remain one of the fastest-growing sectors of the pharmaceutical industry in the coming years, according to Evaluate's World Preview 2025.

Around 300 million people across the globe are affected by rare diseases, despite some having no approved therapies, notes EURORDIS. The U.S. Remains the largest market for orphan drugs. 

The deal is a strategic fit with our research and development plans, said Reshma Kewalramani, president and chief executive officer of Vertex.

The expertise of the Crinetics team combined with Vertex's commercial capabilities will enable us to make these new therapies accessible to more patients worldwide.
