Tuesday morning, Capstone Copper Corp (ASX: CSC) shares pushed higher after it unveiled a significant asset sale. On Monday the shares closed at $14.55 and gained 1.6% to be at $14.78 in Thursday morning trade.
Capstone announced the sale back in April as it entered into a definitive agreement to sell its Cozamin copper-silver-zinc-lead mine in Mexico to Luca Mining Corp. Luca Mining will pay up to US$385 million.
Luca Mining to Acquire Cozamin Mine at US$385 Million (AU$542.3M)
Total consideration includes US$275 million in upfront cash, subject to customary closing adjustments. At closing, Capstone will also receive Luca shares worth US$15 million. Deferred consideration of an additional US$35 million will be settled one year after the transaction (the First Anniversary).
The balance of up to US$60 million will be paid in cash, contingent on average copper prices for the year. Capstone stated that it will use the funds to bolster its balance sheet and fund its growth pipeline.
Capstone to Prioritise Growth
Cozamin had become a key asset for the company, and Cashel Meagher, Capstone’s president and CEO, up to his resignation last week, said it had allowed Cozamin to provide stability and high cash flows as Capstone developed itself into a copper producer with multiple revenue streams.
Meagher added that the sale would allow Capstone to increasingly focus on a streamlined portfolio and redeploy capital into our highest return growth projects.
The company has also exposed significant copper growth opportunities in Chile and the United States. As part of the transaction, Capstone will be issued shares by Luca, which will also provide exposure to some of Cozamin exploration potential.
Copper prices keep market alive
Capstone Copper, for its part, has seen its shares climb 33.5% during the last year supported by higher global copper prices. Copper was trading close to all-time highs at US$14,661 per tonne that’s up 47% in the last 12 months.
The increase has been fuelled by increased demand from data centres, electrical automobiles and the wider vitality transition.
This will provide a further reason for investors to keep an eye on Capstone as copper pricing is currently set strongly, and today the divestment of Cozamin provides another more material update to watch too with focus turned mainly towards Cadena's growth pipeline
What This Means For Australian Investors
A major asset sale like the one of Capstone Copper gives a big time injection of capital to a mining company which can be reinvested into it’s growth aspirations in future. 2.4 For Australian businesses and entrepreneurs within the mining and resources sector, it underscores how new growth options require better ways to manage assets and capital in order to support advancement of those growth options.
The deal also comes after copper prices have previously remained high, climbing 47% over the past year. High copper demand may continue to provide opportunities for businesses tied to copper, mining, energy transition and related supply chains as companies ramp up capital spending on projects associated with the sector.
