Kimberly-Clark Gets Kenvue Green Light With a Catch

Kimberly-Clark can proceed with its $40 billion Kenvue takeover in Australia, but must divest Carefree and Stayfree after regulators warned the merger could reduce period-care competition.

Australian Competition and Consumer Commission (ACCC) has approved the acquisition of the Kimberly-Clark Kenvue with the assurance that there will be no changes made to the two Kenvue period care brands, Carefree and Stayfree, which are currently under consideration for divestment.

The brands are set to be offered to an independent buyer, as approved by the regulator, on 2nd of September 2026, the ACCC said on its website. This condition aims to ensure competition remains after the proposed merger of two of Australia's three largest period care suppliers.

ACCC Targets Concentration in Period Care

Kimberly-Clark makes tampons, pads and panty liners under the U by Kotex brand and Kenvue competes with similar products in the Carefree and Stayfree names. The other large supplier mentioned by the ACCC is Essity, the provider of Libra and TOM Organic.

The regulator pointed out that the acquisition of the Kimberly-Clark Kenvue would leave only two major suppliers and could significantly reduce competition if the divestment is not included. Kimberly-Clark notified the ACCC of the proposed deal on July 28, 2026.

This coincides with Australia's menstrual care market remaining a niche market. According to the April 2026 report, Menstrual Care in Australia, the market is projected to value A$297 million in 2025, which is 1% growth in current value than 2020.

Essity AustralAsia, Kimberly-Clark Australia and Johnson & Johnson Pacific were the top three brands of the retail value share in 2025, with a combined share of 78%. Essity was 31% and Kimberly-Clark was 30%.

Deal Progresses Across Key Markets 

The Kenvue business in Kimberley-Clark has also been approved in New Zealand. On 20 August 2026, the Commerce Commission approved the transaction with their undertaking on Kenvue's business in the New Zealand and Australian feminine hygiene market.

The United States is now past its waiting period, the Hart-Scott-Rodino Act, which ended on February 4, 2026. The decision of the European Union is not a component of the Australian decision as Kimberley-Clark had applied for EU antitrust clearance in August and the European Commission is expected to make a decision on the application on September 29, a provisional date, is reported.

The deal was announced in November 2025 and is estimated to have a US$48.7 billion enterprise value, assuming Kimberley-Clark's share price was the same as at October 31, 2025.

On the financial side, Kimberley-Clark's first-half 2026 net sales rose 1.6% to US$8.352 billion, while operating profit jumped 16.4% to US$1.386 billion. Kenvue reports US$7,864 billion sales, which grew by 3.7%, and operating income of US$1,466 billion.

Kenvue has stated previously the Kimberley-Clark Kenvue acquisition is on track to close in the fourth quarter of 2026, contingent upon all conditions to closure, including of course the final approvals.
