Evolution Mining Buys Carnaby for $213M
Synopsis
The all-scrip deal strengthens Evolution Mining's copper and gold portfolio with the acquisition of Carnaby Resources.
Evolution Mining has made an all-share acquisition of Carnaby Resources which will expand its operations in copper by way of acquiring its Greater Duchess copper mine located in north-west Queensland for a capital allocation that has been estimated at A$213 million.
According to the deal signed on July 27, Carnaby shareholders will receive 0.0682 Evolution shares for each share that they own, thus making the offer price of A$0.772 per share from Evolution share price.
The agreement makes Evolution Mining expand its operations at Ernest Henry, the largest mine of copper and gold in Australia in which it owns a 100% stake.
Greater Duchess is located some 70 km south of Ernest Henry in Cloncurry and Evolution can review future expansion through the existing processing facilities without constructing any new facility.
Copper Assets Expand in Queensland
The Evolution statement indicates that the greater Duchess project and other exploration licenses are consistent with the business conducted by Evolution in the area. It considers that the project may add an additional 10,000 tonnes per year in copper output to the existing production from the project, besides providing opportunities for expansion of exploration in the wider Cloncurry mineral district.
The Carnaby's board has unanimously approved the shareholder's decision on the arrangement, assuming there are no superior proposals, contingent upon the approval of the independent expert about the benefit of such arrangement to the shareholders.
Copper Demand Supports Investment
Copper is an essential material for power grids, buildings, electric vehicles, and renewable energy projects. Copper is one of the minerals whose demand will increase as more electrical systems emerge and more electrification processes happen, as stated by the International Energy Agency's Global Critical Minerals Outlook 2025.
On the other hand, the Copper Market Forecast 2026-2027 by the International Copper Study Group predicts a 1.6% increase in global refined copper demand growth in 2026 mainly because of increasing demands from Asia, and moderate demands from Europe and Japan.
Evolution plays a huge role after a productive year in terms of finances. The annual report from FY2025 for Evolution states A$4.35 billion as revenue, A$926.2 million statutory net profit after tax, and 76,261 tons of copper and 750,512 ounces of gold production from Australia and Canada.
