ASIC Ends Mineral Resources Probe with No Further Action Against Chris Ellison

Australia’s corporate regulator has closed its investigation into Mineral Resources and managing director Chris Ellison, bringing an end to a closely watched inquiry into governance issues at the mining company.
Mineral Resources said on Tuesday that the Australian Securities and Investments Commission (ASIC) had concluded its investigation and would not take further regulatory action against either the company or Ellison.
The probe, launched in 2024, examined allegations including potential tax evasion, the use of company resources for personal matters and issues surrounding Ellison’s participation in the initial public offering of Kali Metals.
ASIC Closes Investigation
ASIC said it had assessed the available evidence, applicable law, prospects of success and broader public-interest considerations before deciding that further regulatory action was not warranted.
The conclusion removes a significant source of uncertainty for Mineral Resources, which has faced heightened scrutiny over governance matters involving its long-serving managing director.
The investigation into the Kali Metals IPO was also significant. Ellison had taken up substantial allocations in the listing, adding another area of scrutiny to ASIC’s broader examination.
Mineral Resources did not face further action as a result of the investigation.
Investors Turn Attention Back to Governance
The regulator’s decision is likely to shift attention towards the company’s governance practices rather than potential regulatory proceedings.
Emanuel Ajay Datt, managing director of investment manager Datt Capital, said institutional investors would view the conclusion as removing a “legal overhang” and allowing them to focus on more conventional governance questions surrounding Mineral Resources.
The development comes as miners continue to face increasing investor scrutiny over executive conduct, capital allocation and corporate governance.
For Mineral Resources, however, the immediate market reaction was relatively muted. Its shares closed 0.6% higher at A$65 on Tuesday.
The company’s governance remains an important consideration for investors but ASIC’s decision removes the uncertainty associated with a potential enforcement action.
For Ellison, who has led Mineral Resources through its expansion across lithium and iron ore, the conclusion also closes a significant regulatory chapter. The focus now returns to the company’s operational performance, strategy and governance arrangements without the immediate prospect of ASIC proceedings.
