Beazley Agrees £8 Billion Takeover by Zurich Insurance Group
Synopsis
Zurich Insurance Group has agreed to acquire UK-based insurer Beazley in a deal valued at £8 billion ($11 billion). The offer includes £13.10 per share plus a dividend and represents a significant premium for shareholders. The acquisition will strengthen Zurich’s position in specialty insurance and expand its presence at Lloyd’s of London. The deal remains subject to due diligence, regulatory approvals, and shareholder consent. If completed, the acquisition will expand Zurich’s global insurance operations and reshape ownership of a major UK-listed insurer.
Zurich Insurance Group and Beazley, a UK-based-based insurance firm, agreed to a PS8 billion (approximately $11 billion) deal. The acquisition proposal will enhance the location of Zurich in specialty insurance and increase its presence at Lloyds of London. Beazley board indicated their readiness to propose the offer to the shareholders, with the consent of due diligence and the ultimate terms agreement.
Zurich came to the compromise after raising its previous bid that Beazley had turned down. The new offer will contain PS13.10/share in cash and a maximum dividend of 25 pence which will translate to about PS13.35/share.
This is a premium of close to 60% on the Beazley share price prior to the publicity of the takeover discussions, which makes the offer more favorable to the shareholders. Zurich replied that it will now continue with another round of financial assessment and then present an official binding offer.
Enhancing the Specialty Insurance Position of Zurich
The purchase will provide Zurich with more access to the specialty insurance, which includes cyber risk, aviation, and high-value asset coverage. Beazley has established a good status in these segments mainly through its operation at the Lloyds of London.
Zurich intends to incorporate Beazley into its current specialty insurance business. The joint venture will produce some 15 billion in gross written premiums, which will enhance the size of Zurich in this expanding segment of the insurance market.
The transaction indicates a larger tendency of insurance consolidations in the world market. Insurers are also buying specialist firms in large numbers in order to increase their capabilities in niche and higher-margin risk areas, particularly cyber insurance.
The acquisition would also take Beazley off the London stock market, should it go through, as it would also be following a trend of foreign companies bidding UK-listed financial companies.
Both Zurich and Beazley claimed that the combination would unite the businesses which complemented their strengths and establish a more powerful specialty insurance platform.
Dan Coatsworth, AJ Bell markets head, stated that the high price paid to Beazley shareholders augurs better in making the deal acceptable to the investors.
Zurich will have to carry out due diligence and get regulatory and shareholder consent prior to the acquisition. The companies have failed to set a deadline of completion.
After the approval, this deal will increase the size of Zurich specialty insurance business and rebrand ownership of one of the established insurance providers in the UK.
