Hub International Eyes Wall Street Debut
Synopsis
Insurance broker Hub International has confidentially filed for a U.S. initial public offering, as the private equity-backed company seeks to tap a recovering IPO market.
After the insurance brokerage firm filed confidential paperwork for a U.S. initial public offering, the plans for Hub International's IPO have come one step closer.
The company has not given any indication of the number of shares it expects to sell, the expected price of its shares or when it will go public. A confidential filing allows companies to start the regulatory review process without having to disclose detailed financial information publicly.
Insurance Brokerage Sector continues strong performance
The proposed Hub International IPO comes on the back of an investment round in 2025, which valued the company at $29 billion. Continuing institutional interest of investors in large insurance distribution businesses is evidenced by those who were involved in that financing, which included T Rowe Price, Alpha Wave Global and Temasek.
There are also consistent investor demands for insurance brokerages, as indicated by industry data. Insurance is one of the most active sectors for large IPOs in the U.S. since 2021, with insurance brokers having six of the top 16 listings, according to S&P Global Market Intelligence. While insurance carriers take on underwriting risk, brokers make money by arranging insurance coverage and collect commissions, and have a more stable business model.
The overall U.S. IPO market has shown signs of improvement over the past month or so following a few rough months earlier in the year which saw a handful of IPOs pushed back. Larger private companies also are making a comeback to the equity markets, as evidenced by recent filings.
North American Presence
Hub International is one of North America's largest insurance brokerage firms, providing commercial insurance, personal insurance, employee benefits, retirement services, wealth management and reinsurance advisory services.
The company has some 21,000 employees and has offices in about 570 cities in the United States and Canada. It has a presence in those two countries, but Hub also acts on behalf of multinational insurance and risk management clients from across the world, via international partner networks.
Hub International is a result of the merger of 11 Canadian insurance brokerages in 1998. It subsequently spread throughout North America via acquisitions, eventually growing to be one of the largest privately-held insurance brokers in North America.
Go back to the Public Market
The Hub International IPO would come after almost 20 years of the company operating privately.
Prior to its acquisition and going private in 2007, Hub was listed on both the Toronto Stock Exchange and the New York Stock Exchange. Hellman & Friedman, a private equity firm, bought the company in 2013 for $4.4 billion from Apax Partners and Morgan Stanley, which are also major shareholders, and it is still one of their owners.
Financial statements, offering size and other information disclosed in the confidential filing are omitted. Those details would normally be revealed in a future public filing should the IPO take place.
