FleetPartners Rejects SG Fleet’s A$769M Takeover Bid

The vehicle management company said the unsolicited A$3.60-a-share offer from the Pacific Equity Partners-backed rival significantly undervalues the business and is not in shareholders' best interests. 

Australian vehicle management company, FleetPartners has declined the takeover offer from SG Fleet, representing it was not in the shareholder's best interest while considering the company undervalued.

The SG Fleet's offer, initiated by Pacific Equity Partners, set a price of around A$3.60 per share, or A$$760.3 million (US$534.5 million ($1,582 million) using the exchange rate as at the offer's announcement date (August 3). 

The indicative value was 27 per cent higher than the FleetPartners' price of A$2.83 as at close of trade yesterday, July 31.

Rival Interest Emerges

Since then, the FleetPartners takeover bid has seen one more interested party enter the fray. According to the latest market information, the indicative value of the Canadian-based Element Fleet Management offer for FleetPartners is A$$803 million, based on an offer of A$3.80 per share in cash.

If FleetPartners agrees to the three-week exclusivity period and opportunity to conduct further due diligence, the Element offer could also be increased to A$4.00 per share, subject to further negotiation and binding conditions.

Financial Performance

The FleetPartners takeover bid comes after the firm posted a statutory net profit of after-tax A$37.1 million for the six months ended 31 March 2026, up 7 per cent on the same period last year.

The vehicle financing and leasing group posted A$39.6 million of NPATA and 18.5 cents cash earnings per share, compared to 16.9 cents for the same period last year, representing a 9 per cent increase. Its vehicle leasing division has also continued to see strong demand for its services with over 88,000 vehicles across Australia and New Zealand.

The FleetPartners takeover is subject to market developments, including alternative offers and/or negotiations.
