TPG Global Makes Takeover Proposal
Australian investment manager EQT Holdings said Tuesday that it had received a takeover proposal from US-based brokerage firm TPG Global.
Under the proposal, EQT would be valued at A$657.8 million, or roughly $467.63 million, with TPG offering A$24.55 in cash for each EQT share.
The proposed price represents a 41.8% premium over EQT’s closing share price on Monday.
Proposal Still Subject to Conditions
TPG has asked EQT for a period of exclusivity while it carries out further due diligence on the company.
The proposal is non-binding and remains subject to several conditions. These include approval from TPG’s Investment Review Committee and a recommendation from the EQT board.
EQT Continues to Reshape Its Business
The takeover approach comes as EQT works to restructure parts of its business while dealing with regulatory pressure. The company has reiterated plans to exit the independent superannuation trusteeship business through its Equity Trustees Superannuation unit.
EQT is also defending legal action brought by the Australian Securities and Investments Commission. The regulator alleges that Equity Trustees Superannuation failed to obtain key information about the now-defunct First Guardian Master Fund before allowing members to invest in it.
EQT said it will provide more information about the potential capital and funding implications of the exit when it releases its annual results on August 20.
