OceanaGold Agrees 100% Takeover of Ausgold

OceanaGold to Acquire Ausgold
OceanaGold has agreed to acquire all of Ausgold through a recommended scheme of arrangement, valuing the Australian company at around A$776 million.
Under the deal, Ausgold shareholders can receive 0.03365 OceanaGold shares for every Ausgold share they own, or choose to receive cash. However, the total cash available is capped at A$194 million, representing 25% of the transaction value. If shareholders request more cash than is available, their cash and share entitlements will be reduced on a pro-rata basis.
Katanning Gold Project
The acquisition will bring Ausgold’s Katanning Gold Project into the OceanaGold group. The project has 2.44 million ounces of resources and 1.33 million ounces of reserves. Katanning is targeting average annual production of 120,000 ounces of gold over a mine life of more than 10 years. Once the acquisition is completed, the combined OceanaGold group is expected to have a market value of around US$6.9 billion. Ausgold shareholders could own up to 7.9% of the enlarged company.
Boards Support the Transaction
Ausgold’s Board has unanimously recommended the proposed deal, provided no superior offer emerges. Dundee Corporation, Ausgold’s largest shareholder with a 7.7% stake, has also backed the transaction on the same basis.
Ausgold Executive Chairman John Dorward said the deal gives shareholders an upfront premium while allowing them to retain exposure to the potential development of the Katanning project as part of the larger OceanaGold group.
Approvals Still Required
The transaction is still subject to a number of conditions before it can be completed. Regulatory and court approvals are required, along with an independent expert’s assessment that the proposed scheme is in the best interests of Ausgold shareholders.
The Scheme Booklet is expected to be sent to shareholders in late October 2026, with a shareholder meeting planned for late November. Completion is targeted for December 2026, subject to the necessary approvals and no significant delays.
If the deal goes ahead, OceanaGold will take control of the Katanning Gold Project, while Ausgold shareholders will receive OceanaGold shares, cash, or a combination of the two depending on the final allocation.
The transaction would be a major step for both companies, bringing Ausgold’s development-stage gold project together with OceanaGold’s established operating and development expertise.
