Elon Musk, the CEO of Tesla left an opening for a potential future merger between Tesla and SpaceX as there is increasing overlap between the two companies.

As you can tell from all the different collaborations on so many fronts with SpaceX, there is more and more overlap, Musk said during Tesla's earnings call. We can’t talk about you know, combining companies and that kind of thing on an earnings call he added. It’s got to be done with the appropriate process.

Analysts See Growing Integration

Talk of merging Tesla and SpaceX has been going on between investors and analysts during SpaceX’s US$75 billion initial public offering.

While SpaceX has projects that require Tesla-powered battery and manufacturing technologies, the two companies are developing Terafab together, a semiconductor manufacturing plant for AI chips.

Analysts at JPMorgan said this month that integration between the two companies is deep already because of shared engineering talent and AI infrastructure, Terafab and Musk himself. Another analyst at Stifel also wrote that lots of investors see Musk combining Tesla and SpaceX as inevitable.

Regulatory and Governance Challenges Remain

Gwynne Shotwell, SpaceX president and chief operating officer said in June about combining the companies that it would make things easier to run between Musk’s businesses.

That said, JPMorgan warned that any agreement may run afoul of regulators, especially in China, where SpaceX’s relationship with the U.S. government could prompt national security issues.

Analysts also pointed out Musk has a far bigger voting stake in SpaceX than in Tesla, posing more difficult governance questions for Tesla’s public shareholders.
