ASIC introduces free compliance tools for SME directors

The regulator rolls out simplified digital tools and guidance to help small business directors understand obligations and stay compliant with evolving corporate regulations.
Australia's corporate regulator unveiled a new set of free online tools today to support company directors of small and medium-sized enterprises (SMEs) in understanding and fulfilling their legal responsibilities, after research revealed significant knowledge gaps about company compliance among directors.
The initiative is part of ASIC's updated Small Business Strategy, and features the Small Business Director Essentials hub, which provides practical guidance, interactive learning modules, compliance checklists and business lifecycle roadmaps.
The regulator states that the resources aim to "facilitate the retrieval of information by directors and increase their understanding of their duties under the Corporations Act 2001.
Research highlights director knowledge gaps
The new tools for ASIC compliance for directors of SMEs were developed on the back of ASIC's independent research that involved 400 SME directors from all around Australia. The study reveals one in three directors knew little or nothing about the implications of failing to meet their legal obligations.
The study also uncovered key issues that impede compliance. The majority of respondents (49%) blamed limited time and resources and another 49% blamed the amount of regulation making compliance difficult. 44% of respondents cited the cost of professional advice, while 22% reported that they had never sought information or advice on their director duties.
ASIC Director Sarah Court stated that small businesses are an important part of the Australian economy, and they require clear, practical information to enable them to comply with corporate law.
Small businesses dominate Australia's business landscape
The Australian Bureau of Statistics (ABS) reports that the number of businesses with fewer than 20 employees make up approximately 97% of all businesses operating in Australia.
ASIC also estimates that there are over 2.7 million small businesses in the country, with many of these run by directors who are responsible for governance, finance and day-to-day operations.
The new Small Business Strategy is centred on four priorities: educate, simplify, engage and collaborate, and protect and enforce. In addition to the new compliance hub, ASIC will also work to further enhance its digital services and online registers to improve access to regulatory information.
Australia's approach is similar to what is found in other developed markets in which directors are guided by regulators to provide governance. The Companies House in the UK and the New Zealand Companies Office provide online compliance tools, with the former including education and a resource on the business lifecycle, while the latter provides just practical tools.
The Small Business Director Essentials hub is free to use and designed for directors at various stages of running a business, from incorporation through to running a business, facing financial challenges or winding up a business.
